By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to all of these Terms, do not use the Service.
1. Description of Service
The Service is an AI-powered resume adaptation tool that uses artificial intelligence and large language models to analyze job descriptions and transform user-provided resumes to better match specific job opportunities. The Service includes resume parsing, job description analysis, AI-driven resume adaptation, and PDF generation.
2. Eligibility
You must be at least 18 years of age and capable of forming a binding contract to use this Service. By using the Service, you represent and warrant that you meet these requirements.
3. Account Registration and Security
3.1. You must authenticate via a supported OAuth provider (e.g., Microsoft) to access the Service. You are responsible for maintaining the security of your authentication credentials.
3.2. You are solely responsible for all activity that occurs under your account.
3.3. You must notify us immediately of any unauthorized use of your account or any other breach of security.
3.4. We reserve the right to suspend or terminate your account at any time, for any reason, with or without notice.
4. Subscription Tiers and Usage Limits
4.1. The Service offers multiple subscription tiers (Free, Pro, Career, Enterprise) with varying usage limits including session counts, token limits, and feature access.
4.2. We reserve the right to modify, discontinue, or change pricing for any subscription tier at any time with reasonable notice.
4.3. Usage limits are enforced on a per-period basis (hourly, weekly, monthly). Exceeding these limits may result in temporary restriction of access to the Service.
4.4. We reserve the right to modify usage limits, features, and tier structures at any time.
5. Acceptable Use
You agree NOT to use the Service to:
5.1. Upload, submit, or transmit any content that is unlawful, defamatory, obscene, fraudulent, or that infringes upon the rights of any third party.
5.2. Submit resumes or content containing false, misleading, or fraudulent information about your qualifications, experience, or credentials.
5.3. Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service.
5.4. Use the Service to generate content for illegal purposes, including but not limited to identity fraud, impersonation, or misrepresentation.
5.5. Submit job descriptions or URLs that you are not authorized to access.
5.6. Attempt to circumvent rate limits, usage quotas, authentication mechanisms, or any other security measures.
5.7. Use the Service in any manner that could damage, disable, overburden, or impair the Service.
5.8. Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or prompts used by the Service.
5.9. Use automated scripts, bots, or other tools to access this service, unless explicitly authorized by us.
5.10. Resell, redistribute, sublicense, or provide the Service to third parties without our prior written consent.
6. User Content
6.1. Ownership. You retain ownership of all resumes, personal information, and other content you submit to the Service ("User Content"). By submitting User Content, you grant us a limited, non-exclusive, worldwide, royalty-free license to process, store, and use your User Content solely for the purpose of providing the Service to you.
6.2. Responsibility. You are solely responsible for the accuracy, completeness, and legality of all User Content you submit. You represent and warrant that you have the right to submit all User Content and that it does not violate any law or infringe the rights of any third party.
6.3. No Obligation. We have no obligation to monitor, review, or edit User Content, but we reserve the right to remove or refuse any User Content at our sole discretion.
7. AI-Generated Output
7.1. Nature of Output. The Service uses artificial intelligence and large language models to generate adapted resumes ("Output"). AI-generated content may contain errors, inaccuracies, omissions, or content that does not accurately reflect your qualifications or experience.
7.2. No Guarantee of Accuracy. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, SUITABILITY, OR QUALITY OF ANY AI-GENERATED OUTPUT. You are solely responsible for reviewing, verifying, and editing all Output before use.
7.3. No Guarantee of Results. We make no representations or warranties that use of the Service or any Output will result in employment, interviews, or any particular outcome. The effectiveness of any adapted resume depends on many factors beyond our control.
7.4. Your Responsibility. You are solely responsible for any resume you submit to employers or other third parties, whether or not it was generated or modified using the Service. You must ensure all information in any resume you use is truthful and accurate.
7.5. Output License. Subject to these Terms, you may use Output generated by the Service for your personal, non-commercial job-seeking purposes. We do not claim ownership of Output generated specifically for you.
8. Third-Party Services
8.1. The Service relies on third-party providers including but not limited to Microsoft Azure (cloud infrastructure, AI models, storage), Microsoft/Entra ID (authentication), and Azure OpenAI (language model processing).
8.2. Your use of the Service is also subject to the terms and policies of these third-party providers. We are not responsible for the availability, accuracy, or practices of any third-party services.
8.3. The Service may scrape or access publicly available job descriptions from third-party websites based on URLs you provide. We are not responsible for the content, accuracy, or availability of third-party job postings.
9. Data Processing by AI Models
9.1. By using the Service, you acknowledge and consent to your User Content (including resume text and job descriptions) being processed by third-party AI language models hosted on Microsoft Azure infrastructure.
9.2. We do not control how third-party AI model providers process data beyond the scope of our agreements with them. You should review the applicable AI provider's terms and privacy policies.
9.3. AI models may produce unpredictable or unexpected output. We implement safety measures but cannot guarantee that all output will be appropriate, accurate, or free from bias.
10. Intellectual Property
10.1. The Service, including its design, features, functionality, algorithms, prompts, user interface, and underlying technology, is owned by us and is protected by intellectual property laws.
10.2. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use the Service in accordance with these Terms.
10.3. You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract any source code, prompts, or models.
11. Disclaimer of Warranties
11.1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
11.2. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
11.3. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED CONTENT, RESUME ADAPTATIONS, EVALUATIONS, OR OTHER OUTPUT.
11.4. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OBTAINED THROUGH THE SERVICE.
11.5. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
12. Limitation of Liability
12.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12.2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).
12.3. WITHOUT LIMITING THE FOREGOING, WE SHALL NOT BE LIABLE FOR ANY DAMAGES OR LOSSES ARISING FROM:
YOUR USE OF OR INABILITY TO USE THE SERVICE;
ANY AI-GENERATED OUTPUT, INCLUDING INACCURATE, INCOMPLETE, OR UNSUITABLE RESUME CONTENT;
ERRORS, INACCURACIES, OR OMISSIONS IN ANY OUTPUT;
ANY EMPLOYMENT DECISIONS MADE BY YOU OR THIRD PARTIES BASED ON OUTPUT FROM THE SERVICE;
UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA;
ANY THIRD-PARTY CONDUCT OR CONTENT;
ANY LOSS OF DATA, INCLUDING USER CONTENT;
SERVICE INTERRUPTIONS, DELAYS, OR FAILURES.
13. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
13.1. Your use of the Service;
13.2. Your User Content;
13.3. Your violation of these Terms;
13.4. Your violation of any applicable law or regulation;
13.5. Your infringement of any third-party rights;
13.6. Any resume or content you submit to employers or third parties that was generated or modified using the Service;
13.7. Any false, misleading, or fraudulent information contained in your User Content or in Output that you use.
14. Termination
14.1. We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.
14.2. You may terminate your account at any time by using the account deletion feature within the Service or by contacting us.
14.3. Upon termination, your right to use the Service will immediately cease. We may delete your data in accordance with our Privacy Policy.
14.4. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
15. Dispute Resolution
15.1. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions.
15.2. Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Jefferson County, Eureka, Missouri. The decision of the arbitrator shall be final and binding.
15.3. Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
15.4. Small Claims. Notwithstanding the foregoing, either party may bring an individual action in small claims court.
16. Service Availability
16.1. We do not guarantee that the Service will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance, resulting in interruptions, delays, or errors.
16.2. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, and without liability to you.
17. Changes to Terms
17.1. We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with a revised "Last Updated" date.
17.2. Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms.
17.3. If you do not agree to the revised Terms, you must stop using the Service and delete your account.
18. Miscellaneous
18.1. Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Service.
18.2. Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
18.3. Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
18.4. Assignment. You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
18.5. Force Majeure. We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, natural disasters, power failures, internet failures, or third-party service outages.
18.6. No Agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and the Company.

11.2. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
11.3. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED CONTENT, RESUME ADAPTATIONS, EVALUATIONS, OR OTHER OUTPUT.
11.4. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OBTAINED THROUGH THE SERVICE.
11.5. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
12. Limitation of Liability
12.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).
12.3. WITHOUT LIMITING THE FOREGOING, WE SHALL NOT BE LIABLE FOR ANY DAMAGES OR LOSSES ARISING FROM:
YOUR USE OF OR INABILITY TO USE THE SERVICE;
ANY AI-GENERATED OUTPUT, INCLUDING INACCURATE, INCOMPLETE, OR UNSUITABLE RESUME CONTENT;
ERRORS, INACCURACIES, OR OMISSIONS IN ANY OUTPUT;
ANY EMPLOYMENT DECISIONS MADE BY YOU OR THIRD PARTIES BASED ON OUTPUT FROM THE SERVICE;
UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA;
ANY THIRD-PARTY CONDUCT OR CONTENT;
ANY LOSS OF DATA, INCLUDING USER CONTENT;
SERVICE INTERRUPTIONS, DELAYS, OR FAILURES.
13. Indemnification

14.1. We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.
14.2. You may terminate your account at any time by using the account deletion feature within the Service or by contacting us.
14.3. Upon termination, your right to use the Service will immediately cease. We may delete your data in accordance with our Privacy Policy.
14.4. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
15. Dispute Resolution
15.1. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions.
15.2. Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Jefferson County, Eureka, Missouri. The decision of the arbitrator shall be final and binding.
15.3. Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
15.4. Small Claims. Notwithstanding the foregoing, either party may bring an individual action in small claims court.
16. Service Availability

The Service includes resume parsing, job description analysis, AI-driven resume adaptation, and PDF generation.
2. Eligibility
You must be at least 18 years of age and capable of forming a binding contract to use this Service. By using the Service, you represent and warrant that you meet these requirements.
3. Account Registration and Security
3.1. You must authenticate via a supported OAuth provider (e.g., Microsoft) to access the Service. You are responsible for maintaining the security of your authentication credentials.
3.2. You are solely responsible for all activity that occurs under your account.
3.3. You must notify us immediately of any unauthorized use of your account or any other breach of security.
3.4. We reserve the right to suspend or terminate your account at any time, for any reason, with or without notice.
4. Subscription Tiers and Usage Limits
4.1. The Service offers multiple subscription tiers (Free, Pro, Career, Enterprise) with varying usage limits including session counts, token limits, and feature access.
4.2. We reserve the right to modify, discontinue, or change pricing for any subscription tier at any time with reasonable notice.
4.3. Usage limits are enforced on a per-period basis (hourly, weekly, monthly). Exceeding these limits may result in temporary restriction of access to the Service.

5. Acceptable Use
You agree NOT to use the Service to:
5.1. Upload, submit, or transmit any content that is unlawful, defamatory, obscene, fraudulent, or that infringes upon the rights of any third party.
5.2. Submit resumes or content containing false, misleading, or fraudulent information about your qualifications, experience, or credentials.
5.3. Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service.
5.4. Use the Service to generate content for illegal purposes, including but not limited to identity fraud, impersonation, or misrepresentation.
5.5. Submit job descriptions or URLs that you are not authorized to access.
5.6. Attempt to circumvent rate limits, usage quotas, authentication mechanisms, or any other security measures.
5.7. Use the Service in any manner that could damage, disable, overburden, or impair the Service.
5.8. Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or prompts used by the Service.
5.9. Use automated scripts, bots, or other tools to access this service, unless explicitly authorized by us.

6. User Content
6.1. Ownership. You retain ownership of all resumes, personal information, and other content you submit to the Service ("User Content"). 6.2. Responsibility. You are solely responsible for the accuracy, completeness, and legality of all User Content you submit. You represent and warrant that you have the right to submit all User Content and that it does not violate any law or infringe the rights of any third party.
6.3. No Obligation. We have no obligation to monitor, review, or edit User Content, but we reserve the right to remove or refuse any User Content at our sole discretion.
7. AI-Generated Output
7.1. Nature of Output. The Service uses artificial intelligence and large language models to generate adapted resumes ("Output"). AI-generated content may contain errors, inaccuracies, omissions, or content that does not accurately reflect your qualifications or experience.
7.2. No Guarantee of Accuracy. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, SUITABILITY, OR QUALITY OF ANY AI-GENERATED OUTPUT. You are solely responsible for reviewing, verifying, and editing all Output before use.
7.3. No Guarantee of Results. We make no representations or warranties that use of the Service or any Output will result in employment, interviews, or any particular outcome. The effectiveness of any adapted resume depends on many factors beyond our control.
7.4. Your Responsibility. You are solely responsible for any resume you submit to employers or other third parties, whether or not it was generated or modified using the Service. You must ensure all information in any resume you use is truthful and accurate.
7.5. Output License. Subject to these Terms, you may use Output generated by the Service for your personal, non-commercial job-seeking purposes. We do not claim ownership of Output generated specifically for you.
8. Third-Party Services
8.1. The Service relies on third-party providers including but not limited to Microsoft Azure (cloud infrastructure, AI models, storage), Microsoft/Entra ID (authentication), and Azure OpenAI (language model processing).
8.2. Your use of the Service is also subject to the terms and policies of these third-party providers. We are not responsible for the availability, accuracy, or practices of any third-party services.
8.3. The Service may scrape or access publicly available job descriptions from third-party websites based on URLs you provide. We are not responsible for the content, accuracy, or availability of third-party job postings.
9. Data Processing by AI Models
9.1. By using the Service, you acknowledge and consent to your User Content (including resume text and job descriptions) being processed by third-party AI language models hosted on Microsoft Azure infrastructure.
9.2. We do not control how third-party AI model providers process data beyond the scope of our agreements with them. You should review the applicable AI provider's terms and privacy policies.
9.3. AI models may produce unpredictable or unexpected output. We implement safety measures but cannot guarantee that all output will be appropriate, accurate, or free from bias.
10. Intellectual Property
10.1. The Service, including its design, features, functionality, algorithms, prompts, user interface, and underlying technology, is owned by us and is protected by intellectual property laws.
10.2. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use the Service in accordance with these Terms.
10.3. You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract any source code, prompts, or models.

11.5. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
12. Limitation of Liability

UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA;
ANY THIRD-PARTY CONDUCT OR CONTENT;
ANY LOSS OF DATA, INCLUDING USER CONTENT;
SERVICE INTERRUPTIONS, DELAYS, OR FAILURES.
13. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

14. Termination

14.2. You may terminate your account at any time by using the account deletion feature within the Service or by contacting us.
14.3. Upon termination, your right to use the Service will immediately cease. We may delete your data in accordance with our Privacy Policy.
14.4. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
15. Dispute Resolution
15.1. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions.
15.2. Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Jefferson County, Eureka, Missouri. The decision of the arbitrator shall be final and binding.
15.3. Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

13.6. Any resume or content you submit to employers or third parties that was generated or modified using the Service;
13.7. Any false, misleading, or fraudulent information contained in your User Content or in Output that you use.
14. Termination
14.1. We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.
14.2. You may terminate your account at any time by using the account deletion feature within the Service or by contacting us.
14.3. Upon termination, your right to use the Service will immediately cease. We may delete your data in accordance with our Privacy Policy.
14.4. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
15. Dispute Resolution
15.1. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions.
15.2. Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Jefferson County, Eureka, Missouri. The decision of the arbitrator shall be final and binding.
15.3. Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
15.4. Small Claims. Notwithstanding the foregoing, either party may bring an individual action in small claims court.
16. Service Availability
16.1. We do not guarantee that the Service will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance, resulting in interruptions, delays, or errors.
16.2. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, and without liability to you.
17. Changes to Terms
17.1. We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with a revised "Last Updated" date.
17.2. Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms.
17.3. If you do not agree to the revised Terms, you must stop using the Service and delete your account.
18. Miscellaneous
18.1. Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Service.
18.2. Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
18.3. Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
18.4. Assignment. You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
18.5. Force Majeure. We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, natural disasters, power failures, internet failures, or third-party service outages.
18.6. No Agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and the Company.
